Wiring maker General Cable will pay $82.3M in SEC case

General Cable, a company that makes wiring, will pay $82.3 million to the federal government to resolve investigations into accounting practices and potential violations of a law that prohibits the payment of bribes to foreign officials.

The company, based in Highland Heights, Ky., said Thursday it entered into agreements with the Securities and Exchange Commission and the Department of Justice to end those agencies’ respective investigations.

The settlement with the SEC encompasses both the potential violations of anti-bribery laws as well as separate accounting and disclosure issues that were the subject of the company’s prior restatements of its earnings. General Cable first disclosed the investigations in January 2014.

General Cable will give up or disgorge profits of about $51.2 million and pay a $20.5 million penalty and $4.1 million of interest in connection with the Department of Justice's investigation into potential violations of the Foreign Corrupt Practices Act.

The 1977 law prohibits the payment of bribes to foreign officials to assist in obtaining or retaining business. The company will pay a $6.5 million civil penalty related to the SEC’s investigation related to the company’s financial restatements from 2013 and 2014.

"General Cable is committed to conducting our business ethically and with the utmost integrity, and over the past two years, we have invested significant time and resources to implement a world-class compliance program," Michael McDonnell, General Cable's president and CEO, said in a statement. "We are a different and better company today as a result of these actions.”

As part of the Department of Justice resolution, General Cable entered into a non-prosecution agreement, which will be in effect for three years. No criminal charges will be brought against General Cable, provided it complies with its obligations under the agreement. Instead of having an independent compliance monitor, the company has instead agreed to annual self-reporting for a period of three years.
